ShingleCare+ Service Agreement

This Service Agreement (“Agreement”) governs your purchase and use of the ShingleCare+ annual roof maintenance subscription (“ShingleCare+” or the “Service”) offered by JD Industries LLC, doing business as Midwest Roofing (“Midwest Roofing,” “we,” “us,” or “our”). By purchasing ShingleCare+, checking the consent box at checkout, and submitting payment, you (“you,” “Customer,” or “Member”) agree to the terms below.

This Agreement applies specifically to the ShingleCare+ Service. It is separate from and in addition to the general Terms of Service and Privacy Policy posted on our website.


1. What ShingleCare+ Includes

ShingleCare+ is an annual subscription that entitles you to one (1) scheduled roof maintenance visit per membership year at a single residential property you own or control. During that visit, our service technicians will perform the following five services, subject to the conditions and exclusions in this Agreement:

  1. Debris removal from the roof โ€” clearing loose debris (leaves, branches, and similar material) from accessible roof surfaces.
  2. Gutter cleaning โ€” cleaning accessible gutters, performed only where gutter guards are not installed. Where gutter guards are present, this service is not performed and no credit or substitution is provided.
  3. Sealing exposed nail heads โ€” sealing exposed or backed-out nail heads that are visible and accessible during the visit.
  4. Redundancy collars around pipe jacks โ€” installing redundancy collars around pipe jacks (plumbing boots) where applicable, in our technician’s reasonable judgment based on the type and condition of the existing boots.
  5. Roof health report โ€” a written report, including photographs taken during a hands-on inspection, providing our technician’s visual assessment of the roof’s general condition, estimated age, observed issues, and suggested next steps for you to consider.

The specific work performed at each visit depends on what our technicians observe and can safely access on the day of service. Not every service applies to every roof.


2. About the Roof Health Report

The roof health report is a visual maintenance assessment based on a hands-on inspection of accessible areas of your roof. It reflects our technician’s observations and opinions on the day of the visit.

The report is not:

  • a warranty, guarantee, or certification of the roof’s condition or remaining lifespan;
  • a structural, engineering, or code-compliance evaluation;
  • an inspection suitable for insurance claims, real estate transactions, resale, financing, or any other third-party reliance; or
  • a guarantee that the roof will not leak, fail, or require repair.

Roofs can have conditions that are not visible or accessible during a routine maintenance visit. We do not detect or disclose latent, concealed, or interior defects, and we are not responsible for conditions that are not reasonably observable during the visit. You should not rely on the report as a substitute for a full professional inspection where one is warranted. Any repair, replacement, or further work identified in the report is quoted and billed separately and is not included in your membership.


3. What Is Not Included

ShingleCare+ covers only the five services described in Section 1. It does not include, among other things:

  • roof repairs, replacements, or any work beyond the specific sealing and collar work described above;
  • interior work, structural work, or work on any part of the property other than the roof and accessible gutters;
  • removal of heavy, compacted, or hazardous debris, or debris requiring specialized equipment;
  • snow or ice removal;
  • any work our technicians determine cannot be performed safely; or
  • additional visits beyond the one included visit per membership year.

Additional or corrective work you request or that we recommend will be provided, if at all, under a separate estimate and agreement at then-current pricing.


4. Service Area Eligibility

ShingleCare+ is available only at properties within our defined service areas served by our Springfield, Columbia, and Eldon (Lake) branches. We determine eligibility by the property’s ZIP code.

If you purchase ShingleCare+ for a property outside our service area, we will not perform the Service and will refund your payment in full. Providing an accurate service-property address and ZIP code is your responsibility, and we are not obligated to perform the Service at any address other than the eligible property associated with your membership.


5. Scheduling, Access, and Your Responsibilities

We will contact you to schedule your annual visit. Visits are subject to weather, technician availability, and safe working conditions, and may be rescheduled as needed.

To allow us to perform the Service, you agree to:

  • grant our technicians access to the property and roof on the scheduled date;
  • disclose any known hazards or conditions affecting the roof or property (for example, fragile roofing, prior damage, skylights, solar equipment, or pets);
  • secure pets and keep the area around the home clear during the visit; and
  • ensure that anyone at the property permits our technicians to perform their work safely.

If we cannot safely access or work on the roof โ€” due to weather, roof pitch or condition, obstructions, lack of access, unsafe conditions, or any other reason in our technicians’ reasonable judgment โ€” we may decline to perform all or part of the Service. In that case we will discuss options with you, but declining unsafe work does not entitle you to a refund of your annual fee, as the visit and any completed services still count toward your membership year.


6. Subscription, Billing, and Automatic Renewal

Please read this section carefully. ShingleCare+ is an automatically renewing subscription.

  • Price and term. ShingleCare+ costs $99 per year and covers a membership term of twelve (12) months beginning on the date of your initial payment.
  • Steep-roof surcharge. Roof pitch cannot be determined at signup. If our technicians determine at the visit that your roof is steep-slope and requires additional safety measures, a $50 steep-roof surcharge applies. This surcharge is in addition to your annual fee and is assessed and billed at the time of service.
  • Automatic renewal. Your membership will automatically renew each year on the anniversary of your initial payment, and we will charge the payment method on file the then-current annual fee, until you cancel. Prices may change on renewal; we will notify you in advance of any price change.
  • Renewal reminder. Before each renewal, we will send a reminder to the email address associated with your account.
  • Authorization. By purchasing, you authorize us and our payment processor (Stripe) to charge your selected payment method (card or bank/ACH) the annual fee at signup and upon each renewal.
  • Failed payments. If a renewal charge fails, we may retry the charge and may suspend or cancel your membership if payment cannot be collected. You are responsible for keeping your payment information current.

7. Cancellation and Refunds

  • How to cancel. You may cancel at any time by emailing us at [email protected] or calling our office at 573-619-5641. Cancellation is effective for the next renewal; to avoid a renewal charge, you must cancel at least 30 days before your renewal date.
  • Effect of cancellation. If you cancel, you remain entitled to your annual visit for the membership term you have already paid for (if not yet used), and your membership will not renew afterward.
  • Refunds. Except where required by law or expressly stated in this Agreement (such as the out-of-service-area refund in Section 4), annual fees are non-refundable once your scheduled visit has been performed.   • Our right to cancel. We may decline service or cancel a membership โ€” with a prorated or full refund as appropriate โ€” if a property is ineligible, unsafe to service, or if we discontinue the Service in your area.

8. Photographs, Reports, and Your Information

As part of the Service, our technicians take photographs of your roof and property using field documentation tools (including CompanyCam) to prepare your roof health report. By purchasing ShingleCare+, you consent to our taking, storing, and using these photographs and related data to perform the Service, deliver your report, and maintain our service records.

Marketing use of anonymized photos. You grant Midwest Roofing permission to use photographs taken during your visit in our marketing, advertising, website, and social media, provided the images are anonymized โ€” that is, we will remove or omit your name, street address, and other information that would identify your specific property or you personally. We will not publicly share images that identify your specific property address or your identity without your separate written permission.

9. Limitation of Liability and Assumption of Risk

Roof maintenance involves inherent risks. To the fullest extent permitted by law:

  • We perform the Service using reasonable care, but we do not warrant or guarantee any particular outcome, and we make no warranties of any kind except as expressly stated in this Agreement. All implied warranties are disclaimed to the extent permitted by law.
  • We are not liable for pre-existing conditions, latent defects, or damage that is not caused by our negligence.
  • Our total liability arising out of or relating to ShingleCare+ or the Service will not exceed the amount you paid us for the then-current membership term.
  • We are not liable for indirect, incidental, consequential, or punitive damages.

Nothing in this Agreement limits liability that cannot be limited under applicable law.


10. General Terms

  • Governing law. This Agreement is governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in or serving Miller County, Missouri. [Consider whether you want an arbitration clause โ€” discuss with counsel.]
  • Changes. We may update this Agreement from time to time. Material changes affecting your subscription will be communicated to you, and continued membership after the effective date constitutes acceptance.
  • Entire agreement; severability. This Agreement, together with the terms you accepted at checkout, is the entire agreement between you and us regarding ShingleCare+. If any provision is found unenforceable, the remaining provisions remain in effect.
  • Assignment. You may not transfer your membership without our written consent. We may assign this Agreement in connection with a sale or reorganization of our business.
